This version supersedes the previous Terms dated December 24, 2025.

These Terms of Service ("Terms") govern your access to and use of the services provided by Dalil AI Ltd, a company registered in the Dubai International Financial Centre (DIFC) under License No. CL8158 ("Dalil AI", "we", "us", or "our"). By accessing or using our platform, you agree to be bound by these Terms.

If you have entered into a separate written agreement with Dalil AI or with an authorised Dalil AI distribution partner (including an order form, master services agreement or channel-specific general conditions), that agreement prevails over these Terms to the extent of any conflict.

1. Introduction and Definitions

"Services" refers to the cloud-based Dalil AI Sales OS platform, including lead and deal management, data enrichment, multi-channel sequences, the unified inbox, workflow automation, AI features, integrations, APIs and all related tools.

"User" means any individual who accesses or uses the Services under a Workspace.

"Workspace" means the account environment created for a customer organization, within which Users operate.

"Customer Data" means all data, content, and information submitted to the Services by the customer or their Users. Customers retain full ownership of their Customer Data.

"AI Output" means content and suggested actions generated by the Services' artificial intelligence features, including messages, drafts, replies, summaries, scores and automated recommendations.

"Credits" means the consumable units used for AI features and data enrichment, pooled at Workspace level.

"Dalil AI Content" means all software, algorithms, models, templates, documentation, and other materials created by Dalil AI. Use of Dalil AI Content is subject to the limited license granted herein.

"Feedback" means any suggestions, ideas, or recommendations you provide regarding the Services. By submitting Feedback, you grant Dalil AI a perpetual, royalty-free right to use it without restriction.

"Related Policies" means our Privacy Policy, Data Processing Agreement, and any other policies referenced herein.

2. Account Creation and Eligibility

To use the Services, you must:

Be at least 18 years of age
Use the Services for business purposes on behalf of an organization
Provide accurate and complete registration information
Maintain the confidentiality of your login credentials and be responsible for all activity under your account, including any API keys issued to you
Comply with all applicable laws and regulations, including export control laws
Not use the Services if prohibited by applicable law in your jurisdiction

You are responsible for notifying Dalil AI immediately if you suspect unauthorized access to your account or exposure of your API keys.

3. Subscription and Ordering

Dalil AI offers a single platform subscription consisting of a base platform fee plus usage-based capacity (seats, connected channels and Credits), as described on the Pricing page and in your order. Specific fees, currencies, included Credits and any introductory pricing are set out at checkout or in your order form, which prevails over this Section.

Credits: Credits are consumed by AI features and enrichment lookups, are pooled at Workspace level, and do not expire while your subscription is active. Credit pack purchases are final once any credit from the pack has been consumed.

Ordering: Subscriptions are initiated through the platform or by contacting our sales team. By placing an order, you agree to the applicable pricing shown at checkout or in your order form.

Seats: Access is licensed per named user seat. You may not share accounts between multiple individuals.

Upgrades and Downgrades: You may add capacity at any time; additions take effect immediately and are billed on a pro-rata basis. Reductions take effect at the next billing cycle.

Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

4. Fees, Billing and Taxes

Fees are charged in the currency shown at checkout or in your order form
Billing is processed on a recurring basis through Stripe
Applicable taxes (including VAT or equivalent indirect taxes) are added where required by law and are borne by the customer
Late payments may result in suspension of access. Dalil AI will provide notice before taking such action
Invoices are available within the platform's billing settings

5. Refund Policy

Dalil AI offers a conditional cooling-off period of 14 days from the date of initial purchase. A refund may be requested during this period only if all of the following conditions are met:

No outreach messages have been sent and no sequences have been launched
No enrichment lookups have been performed
No data has been exported from the Workspace
No refund has previously been received on any Workspace associated with you or your organization

Credit pack purchases are non-refundable once any credit is consumed. Refund requests outside this window, or where usage has exceeded these thresholds, will not be eligible. To request a refund, contact us at info@usedalil.ai within the 14-day window.

If you are a consumer in the EEA or the UK, you expressly request immediate performance of the Services at checkout and acknowledge that your statutory right of withdrawal is lost once the service is fully performed, and is reduced pro-rata once performance begins.

6. Customer Data and Ownership

You retain full ownership of all Customer Data you submit to the Services
You grant Dalil AI a limited, non-exclusive license to process your Customer Data solely for the purpose of providing the Services
Dalil AI may use aggregated, anonymized statistics derived from usage patterns to improve the platform, provided such data cannot be used to identify you or your customers
Dalil AI does not use Customer Data to train artificial intelligence models
You are solely responsible for the legality of your Customer Data and for complying with applicable data protection laws (including GDPR) with respect to personal data you upload, connect or sync. Processing of personal data on your behalf is governed by our Data Processing Agreement, which is incorporated into these Terms

7. AI Features and AI Output

The Services include artificial intelligence features that analyse the content of records and communications you connect (such as emails, LinkedIn and WhatsApp messages) in order to generate AI Output.

AI features are powered exclusively by frontier, industry-recognized large language models from OpenAI, Anthropic and Google. Dalil AI leverages their capabilities under contractual terms that prohibit these providers from using your data to train or improve their AI models
AI features are designed in accordance with the principle of data minimization: Dalil AI transmits to AI providers only the data reasonably necessary to generate the output you request, and does not intentionally give AI features access to personal or sensitive information beyond what the requested output reasonably requires
AI Output is probabilistic and can be inaccurate, incomplete, biased or unsuitable. The quality of AI Output depends substantially on the context, data and instructions you provide
You are responsible for reviewing and verifying AI Output before relying on it, sending it, publishing it or acting on it
AI processing is performed by the sub-processors listed in the Data Processing Agreement, under contractual terms prohibiting data retention and training reuse
The Services do not make automated decisions producing legal or similarly significant effects concerning individuals; AI Output consists of suggestions that require human review and action

8. Role-Based Access and Administrative Responsibilities

Each Workspace must designate at least one administrator
Administrators are responsible for configuring user permissions, managing access levels, and controlling data visibility within the Workspace, including access to connected conversations
Sharing of connected conversations within a Workspace is controlled by the conversation owner and can be revoked; administrators and Users must ensure internal sharing complies with their own confidentiality and data protection obligations
Dalil AI is not responsible for access decisions made by administrators or for data accessed by authorized Users within your Workspace

9. Integrations, Connected Channels and Third-Party Services

The Services include integrations and channel connections with third-party platforms (including email providers, LinkedIn and WhatsApp) and automation tools. By using these integrations, you also agree to the terms of those third-party services.

Dalil AI does not control and is not responsible for third-party services, their availability, accuracy, or policies
Connected channel accounts are operated under your own credentials and at your own risk. Dalil AI is not responsible for restrictions, suspensions or bans applied by third-party platforms to your accounts as a result of your activity
Third-party integrations are provided for your convenience and are subject to change without notice

10. Acceptable Use

You agree not to use the Services to:

Engage in any illegal activity or facilitate illegal acts
Violate any intellectual property, privacy, or other rights of third parties
Upload or distribute offensive, defamatory, or harmful content
Initiate outbound communications (email, LinkedIn, WhatsApp or other channels) without a valid lawful basis under applicable law, including consent or another applicable basis for electronic marketing; fail to honour opt-outs and suppression requests; or breach the terms of service of any connected third-party platform
Attempt to breach or circumvent security measures of the platform or any third-party system
Interfere with the integrity or performance of the Services
Upload personal data of individuals under 18, special categories of personal data, or sensitive regulated data (such as health, financial, or government identity data) unless expressly agreed in writing with Dalil AI

You are solely responsible for the lawfulness of your outreach, including its frequency, content and targeting. Dalil AI may impose sending limits and guardrails and may suspend sequences that generate abuse complaints.

11. Data Protection and Security

Dalil AI complies with the DIFC Data Protection Law No. 5 of 2020 and the GDPR and UK GDPR where applicable. Processing of personal data on your behalf is governed by our Data Processing Agreement
The platform is hosted on Google Cloud Platform (London, UK region). If the EU adequacy decision for the UK is revoked, Dalil AI will implement alternative safeguards and, where required, migrate hosting to the EEA. EEA data residency may be offered as a configuration option under an order form
All data is encrypted in transit using TLS 1.3 and encrypted at rest using AES-256
Encrypted daily backups are retained for a rolling period of 7 days
Dalil AI will notify affected customers within 48 hours of detecting any personal data breach affecting their data
Dalil AI relies on the certifications of its infrastructure partners (Google Cloud: ISO 27001, SOC 2) and undergoes third-party penetration testing

12. Service Availability and Support

Dalil AI targets a monthly uptime of 90%, measured on weekdays (Monday to Friday). Weekends are reserved primarily for updates, maintenance and unavailability windows and are excluded from the uptime measurement. This target is provided on a commercially reasonable efforts basis and does not carry service credits unless agreed in an order form
Support is available via email and in-app chat, Monday to Friday, 9 AM to 5 PM CET
Planned maintenance will be communicated in advance where reasonably practicable

13. Intellectual Property

All Dalil AI software, algorithms, models, branding, and documentation remain the exclusive property of Dalil AI Ltd
You receive a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your subscription term
You may not copy, modify, distribute, sell, reverse engineer, or create derivative works based on any part of the Services
As between the parties, you own the AI Output generated for you, subject to third-party rights and your responsibility for its use

14. Confidentiality

Both parties agree to maintain the confidentiality of the other's non-public business information for a period of 3 years following termination of these Terms (indefinitely for trade secrets)
Confidential information may be disclosed only to employees or contractors with a need to know, who are bound by equivalent confidentiality obligations
Disclosure required by law or court order is permitted, provided the disclosing party gives prompt written notice where legally permissible

15. Modifications to Services

Dalil AI reserves the right to modify, add, or remove features from the Services at any time
For changes that cause a significant disruption to your use of the Services, Dalil AI will provide at least 30 days' advance notice, during which you may terminate your subscription for a pro-rata refund
For minor interventions, improvements and routine updates, Dalil AI may give reduced notice of up to 48 hours, or no notice where the change has no material adverse impact
Beta features are provided "as is" without warranty and may be withdrawn at any time

16. Warranties and Disclaimers

Customers on paid plans are entitled to expect the Services to be delivered with reasonable skill and care
Except as expressly stated, the Services are provided "as is" and "as available", without warranties of any kind, express or implied
Dalil AI does not warrant the accuracy, completeness, or fitness for purpose of AI Output or enrichment data, the deliverability of outbound communications, or the availability of third-party integrations and connected channels

17. Limitation of Liability

Dalil AI will not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption
Dalil AI is not liable for: the content or consequences of AI Output you choose to use or send; the accuracy of enrichment data; restrictions or bans applied to your third-party accounts; your compliance with outreach and marketing laws; or losses arising from compromised credentials or API keys
Dalil AI's total aggregate liability for all claims arising from these Terms is limited to the fees paid by you in the 2 months preceding the event giving rise to the claim
For clarity, this cap applies to claims arising from personal data breaches under applicable data protection law and is not derogated by any other clause of these Terms
Any claim must be brought within 12 months of the event giving rise to it
Nothing in these Terms excludes liability for personal injury, fraud, or any liability that cannot be excluded by law

18. Indemnification

Dalil AI will defend and indemnify you against third-party claims that the Services, as provided, infringe any intellectual property right, subject to your prompt notification and reasonable cooperation
You will indemnify Dalil AI against claims arising from your Customer Data, your outreach activity, your use of AI Output, your violation of these Terms, or your breach of applicable law

19. Suspension and Termination

Dalil AI may immediately suspend your account for material breach, non-payment, or activities that risk harm to the platform or other users
For breaches capable of remedy, Dalil AI will provide a 30-day cure period before terminating the account
Paid subscriptions will run until the end of the current billing period unless terminated for cause
Upon termination, your right to access the Services ceases immediately

20. Data Export and Deletion

Following termination, you have a 30-day grace period to export your Customer Data
Upon deletion request, all Customer Data, including synced conversations, attachments and AI Output, is irreversibly deleted within 7 business days, with residual copies in backups purged within a further 7 days
After the grace period, Dalil AI may permanently delete your Customer Data and is under no obligation to recover it
Legal or regulatory retention obligations may require Dalil AI to retain certain records beyond this period

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the DIFC, Dubai, UAE
Any dispute arising from or relating to these Terms shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC), by a single arbitrator, in the English language, seated in the DIFC
Nothing in this Section deprives consumers in the EU, UK or other jurisdictions of the protection of mandatory local law or of their right to bring proceedings before their local courts
Customers contracting under separate written agreements or channel-specific general conditions are subject to the governing law and forum stated in those documents

22. Changes to Terms

Dalil AI will provide at least 30 days' advance notice of material changes to these Terms
Your continued use of the Services after the notice period constitutes acceptance of the updated Terms
Non-material updates (e.g., clarifications, corrections) may take effect without prior notice

23. Miscellaneous

These Terms, together with your order and the Related Policies, constitute the entire agreement between you and Dalil AI regarding the Services and supersede all prior agreements
You may not assign your rights under these Terms without Dalil AI's prior written consent. Dalil AI may assign these Terms in connection with a merger, acquisition, or sale of assets
The parties are independent contractors. Nothing herein creates an employment, partnership, or agency relationship
Neither party will be liable for delays caused by circumstances beyond their reasonable control (force majeure), provided that if such circumstances persist for more than 60 days, either party may terminate the agreement
A failure to enforce any provision of these Terms does not constitute a waiver of that provision
If any provision is found unenforceable, the remaining provisions continue in full force
